1. What Is Company Secretary

A Company Secretary is a professional who a vital role in the governance and administration of a Company. This involves ensuring the Company compiles with legal and regulatory requirements (such as Companies Act, 2016), maintains proper corporate records, and implements decision made by the Board of Directors.

The specific duties and responsibilities of a Company Secretary can be vary depending on the size and type of the Company, as well as the legal requirements of the jurisdiction in which the Company operates. This includes of governance and compliance, board support, communication, record keeping, advisory and administrative task.

A Company Secretary always performed their Continuing Professional Development just to ensure that the Company operates within the legal framework and adheres to good governance practices.

2. Who can be appointed as company secretary?

As per Section 235(1) of Companies Act, 2016 (CA 2016), a Company shall have at least one secretary who shall be

(a) a natural person;

(b) Eighteen years of age and above; and

(c) A citizen or permanent resident of Malaysia

 

Who shall ordinarily reside in Malaysia b having a principal place of residence in Malaysia.

As per Section 235(2) of CA2016, a Secretary shall be

(a) a member of an approval body of any of the following:

– Malaysia Institute of Chartered Secretaries and Administrators

-Malaysia Institute of Accountants

-Malaysian Bar

-Malaysia Association of Company Secretaries

-Malaysian Institute of Certified Public Accountants

-Sabah Law Association

-Advocates Association of Sarawak

 

(b) A person licensed by the Commission under section 20G of the Companies Commission of Malaysia Act 2001.

3. What is the duties of company secretary?

i. Ensure compliance with the Companies Act 2016
ii. Maintain statutory registers ʹkeeping and updating the registers
iii. Update changes of the company to SSM by lodging the necessary forms and documents
iv. Liaise with shareholders
v. To handle all paperwork, statutory documents and procedural matters which involve the running of a company
vi. File audited accounts and annual return within the time required under the Act 2016
vii. Protect the company’s assets (company’s statutory registers)
viii. Oversee arrangement to allow shareholders and others to inspect certain statutory registers of the company
